2. Client Responsibilities

To ensure the successful delivery of any project, the client agrees to:

  • Provide timely feedback and approvals at various project milestones.
  • Supply all necessary content, logos, and access credentials required for development or design.
  • Ensure that all materials provided do not infringe on any third-party intellectual property rights.

3. Intellectual Property

  • Ownership: Upon full payment of all project fees, ownership of the final digital deliverables (e.g., a website or logo) is transferred to the client.
  • Agency Rights: Apex Tech XL Enterprises retains the right to use the completed work in our portfolio and marketing materials unless a Non-Disclosure Agreement (NDA) has been signed.
  • Pre-existing Code: Any proprietary code, frameworks, or tools used by us during development remain the property of Apex Tech XL Enterprises.

4. Payment Terms

  • Projects require an upfront deposit as specified in the project quote.
  • Final files or live site migrations will only be handed over once the remaining balance is cleared.
  • For managed IT services, payments are due on a monthly basis. Late payments may result in a temporary suspension of technical support.

5. Limitation of Liability

While we strive for technical perfection, Apex Tech XL Enterprises shall not be held liable for any indirect, incidental, or consequential damages resulting from the use of our services, including data loss or business interruptions caused by third-party hosting or software providers.

6. Project Timelines

We make every effort to meet agreed-upon deadlines. However, timelines may be extended due to delays in client feedback, requested changes in project scope, or unforeseen technical challenges.

7. Termination of Service

Either party may terminate a project or service agreement with written notice. In the event of termination, the client is responsible for paying for all work completed up to the date of cancellation.

8. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Islamabad.
